Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the UnikWare website at unikware.in and any services provided by UnikWare ("we", "us", or "our"). By visiting our website, submitting an enquiry, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.

Our Services

UnikWare provides custom software development, web application development, mobile application development, ERP solutions, and related technology consulting services. The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Use of Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the website to transmit unsolicited, commercial, or harmful communications.
• Attempt to gain unauthorised access to any part of the website or its systems.
• Introduce malware, viruses, or other harmful code.
• Scrape, crawl, or systematically extract data from the website without our written consent.
• Impersonate any person or entity or misrepresent your affiliation.

Intellectual Property

All content on this website — including text, graphics, logos, images, icons, and software — is the property of UnikWare or its content suppliers and is protected by applicable intellectual property laws.

Upon full payment for a project, the client receives ownership of the agreed deliverables as specified in the SOW. UnikWare retains ownership of any pre-existing tools, frameworks, libraries, and methodologies used in delivering services, along with the right to display the work in our portfolio unless otherwise agreed in writing.

You may not reproduce, distribute, or create derivative works from our website content without our explicit written permission.

Client Obligations

To ensure successful project delivery, clients are expected to:

• Provide accurate, complete, and timely information, content, and feedback.
• Designate a primary point of contact with authority to make decisions.
• Review and approve deliverables within agreed timelines.
• Ensure that any third-party materials provided to us are licensed for the intended use.
• Make payments in accordance with the agreed schedule.

Delays caused by the client's failure to meet these obligations may result in revised timelines or additional costs.

Payment Terms

Payment terms are outlined in each individual project agreement or invoice. Unless otherwise agreed:

• A deposit (typically 30–50%) is required before project work commences.
• Milestone payments are due upon completion and approval of each agreed milestone.
• Final payment is due before delivery of final files or deployment to production.
• Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month.

All prices are exclusive of applicable taxes (including GST) unless stated otherwise.

Confidentiality

Both parties agree to keep confidential any proprietary information, business data, technical details, or trade secrets shared during the course of a project engagement. This obligation survives the termination of any project agreement for a period of 3 years.

If you require a formal Non-Disclosure Agreement (NDA) before sharing sensitive project details, please request one before our initial consultation.

Warranties & Disclaimers

This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The website will be uninterrupted, error-free, or free of viruses.
• The information on the website is always current, complete, or accurate.
• Results obtained from using our services will meet your specific requirements.

Specific warranties for delivered software projects are defined in the relevant project agreement.

Limitation of Liability

To the fullest extent permitted by law, UnikWare shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Your use of, or inability to use, our website or services.
• Unauthorised access to or alteration of your data.
• Any third-party conduct or content.

Our total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total amount paid by you to UnikWare in the 3 months preceding the claim.

Termination

Either party may terminate a project engagement by providing written notice as specified in the project agreement. Upon termination:

• Work completed up to the termination date shall be invoiced and paid for.
• Each party shall return or destroy confidential materials of the other party.
• Clauses relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

We reserve the right to suspend or terminate your access to this website if you violate these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

Changes to Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website after any changes constitutes acceptance of the revised Terms. For active project engagements, material changes to service terms will be communicated directly.
